1. Agreement to Terms
LegalCase ("we," "our," or "us") operates the website at getlegalcase.com and the LegalCase web and mobile application (collectively, the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and LegalCase governing your access to and use of the Service.
By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.
These Terms should be read together with our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you also agree to our Privacy Policy.
2. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a law firm, business, or other entity, you represent that you have the authority to bind that entity to these Terms and that the entity agrees to be bound by these Terms.
The Service is not intended for use by anyone under the age of 13 (or 16 in the European Economic Area, United Kingdom, or Switzerland). We do not knowingly collect personal information from children under these ages.
We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion, including if we believe you do not meet these eligibility requirements.
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us at help@getlegalcase.com of any unauthorized access or breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
You may not share your account credentials with any third party, create accounts by automated means, or impersonate any person or entity.
4. Description of Service
LegalCase provides a platform for organizing legal case materials, including documents, photographs, videos, audio recordings, and other evidence. The Service enables clients and their attorneys to upload, store, organize, and share case materials and to create exhibit timelines for legal proceedings.
The Service includes, but is not limited to:
- Secure cloud storage and organization of case materials and evidence
- Creation of exhibit timelines and chronological event tracking
- Collaboration between clients and their linked attorneys
- Export of materials and timelines in PDF and other formats
- Web and mobile access to case materials
We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We may update, modify, or discontinue features of the Service from time to time with reasonable notice where practicable.
LegalCase is a technology platform only. We do not provide legal advice, legal representation, or legal services of any kind. Use of the Service does not create an attorney-client relationship between you and LegalCase. You are responsible for obtaining legal advice from a qualified, licensed attorney.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You may not use the Service in any way that violates applicable laws, regulations, or third-party rights.
You agree not to:
- Interfere with or disrupt the Service, its servers, or networks connected to the Service
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems
- Use the Service to transmit malware, viruses, or any harmful or malicious code
- Scrape, harvest, or collect data from the Service through automated means without our written permission
- Upload content that is fraudulent, fabricated, or intended to mislead a court or opposing party
- Use the Service to harass, threaten, or harm any individual
- Impersonate any attorney, officer of the court, or other individual
- Use the Service for any purpose that is illegal, fraudulent, or harmful to any person
- Attempt to reverse engineer, decompile, or otherwise derive source code from the Service
Violations of this section may result in immediate account suspension or termination, and may be reported to appropriate authorities.
6. Attorney-Specific Obligations
If you are a licensed attorney using the Service on behalf of clients, you acknowledge and agree to the following additional obligations:
- You are solely responsible for complying with all applicable Rules of Professional Conduct, ethics rules, and bar regulations in your jurisdiction regarding the use of cloud-based technology to store client documents
- You are responsible for obtaining any client consent required by your jurisdiction prior to uploading client materials to the Service
- You are responsible for informing your clients that their documents will be stored using LegalCase, and for including appropriate disclosure in your engagement letter or retainer agreement
- You represent that your use of the Service complies with ABA Formal Opinion 477R and any applicable state ethics opinions regarding cloud-based document storage
- You acknowledge that LegalCase is a software platform and not a law firm, and that no attorney-client relationship exists between LegalCase and any of your clients
- You are responsible for supervising your clients' use of the Service and for any case materials uploaded by clients under cases you manage
Nothing in these Terms relieves an attorney of their independent professional obligations under applicable ethics rules.
7. Content and Your License
You retain full ownership of any content you upload to the Service, including all documents, photographs, videos, audio recordings, notes, and other materials (collectively, "Content"). LegalCase claims no ownership interest in your Content.
By uploading Content, you grant us a limited, non-exclusive, royalty-free license to store, process, display, and transmit your Content solely for the purpose of providing the Service to you and, where applicable, to your linked attorney or client. This license terminates when you delete your Content or close your account.
You represent and warrant that:
- You have all rights necessary to upload your Content and grant us the license described above
- Your Content does not infringe any third-party intellectual property, privacy, or other rights
- Your Content does not violate any applicable law or regulation
We do not use your Content for advertising, marketing, or to train any machine learning or artificial intelligence models. We use your Content only to provide the Service to you.
8. Fees, Payment, and Refunds
Certain features of the Service require payment. LegalCase currently offers the following subscription tiers:
- Client Plan: $9.99 per month per case, billed monthly
- Attorney Plan: $50.00 per month, billed monthly
By subscribing to a paid plan, you authorize us to charge your payment method on file for all applicable fees on a recurring basis. Fees are billed in advance at the start of each billing cycle.
Refunds: All fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to paid features through the end of your current billing period. We do not provide prorated refunds for partial billing periods.
We may change our pricing from time to time. We will provide at least 30 days' notice of any fee increase before it takes effect. Your continued use of paid features after a fee change takes effect constitutes your acceptance of the new fees.
If payment fails, we may suspend your access to paid features until payment is successfully processed. We are not liable for any data loss resulting from account suspension due to non-payment.
9. Termination and Suspension
You may cancel your subscription or delete your account at any time by contacting us at help@getlegalcase.com or through the account settings in the Service. Upon cancellation, you will retain access to paid features through the end of your current billing period.
We may suspend or terminate your access to the Service at any time, with or without cause, including if you violate these Terms, our Acceptable Use Policy, or any applicable law. We will use reasonable efforts to provide notice before termination except where immediate action is required to protect the Service or other users.
Upon account deletion or termination:
- Your right to use the Service ceases immediately
- We will retain your data for 30 days following termination to allow you to export your materials
- After 30 days, your account data will be permanently deleted from our active systems, except where retention is required by law
- You are responsible for exporting any case materials you wish to retain prior to account deletion
Sections of these Terms that by their nature should survive termination — including Content and Your License, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law — shall survive any termination or expiration of these Terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure at all times. We do not warrant that any documents, timelines, or exhibits created using the Service will be accepted by any court, tribunal, or administrative body. LegalCase is a technology platform only; we make no representations regarding the legal sufficiency, admissibility, or evidentiary value of any materials organized through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGALCASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless LegalCase and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your Content or any materials you upload to the Service
- Your violation of these Terms or our Acceptable Use Policy
- Your violation of any applicable law, regulation, or third-party rights
- Any dispute between you and another user of the Service, including between an attorney and their client
13. Dispute Resolution and Arbitration
Informal Resolution. Before initiating any formal dispute, you agree to contact us at help@getlegalcase.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.
Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Alaska or by remote means. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND LEGALCASE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This waiver applies to class arbitrations, class actions, private attorney general actions, and any other representative proceedings.
Exceptions. Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that may be brought in small claims court may also be brought there.
You may opt out of the arbitration agreement by sending written notice to help@getlegalcase.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you are opting out of arbitration.
14. Force Majeure
LegalCase shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, internet or telecommunications failures, cyberattacks, or third-party service provider outages. We will use reasonable efforts to minimize the impact of such events and resume normal operations as quickly as practicable.
15. Intellectual Property
The Service, including its design, features, software, and content (excluding your Content), is owned by LegalCase and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you reverse engineer or attempt to extract the source code of the Service, without our express written permission.
"LegalCase" and associated logos and marks are trademarks of LegalCase. Nothing in these Terms grants you any right to use our trademarks without prior written consent.
16. Third-Party Services
The Service may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those terms before use.
17. Modifications to These Terms
We may update these Terms from time to time to reflect changes in our Service, applicable law, or business practices. When we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, by sending a notification via email or through the Service at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alaska and applicable federal law, without regard to conflict of law principles. To the extent any dispute proceeds in court rather than arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Alaska.
19. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and LegalCase regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
